These Purchase Order Terms & Conditions (“Terms”) govern all purchase orders (“PO”)
issued by The Wellness Company, LLC (“TWC”) to any vendor (“Vendor”) for the purchase of goods and/or services.
1. Acceptance
This PO is expressly conditioned on Vendor’s acceptance of these Terms. Acceptance of
the PO, shipment of goods, commencement of services, or acceptance of payment
constitutes Vendor’s agreement to these Terms.
2. Vendor Terms Rejected
Any additional or different terms proposed by Vendor are rejected and will not apply,
including terms contained in any invoice, acknowledgment, confirmation, packing slip, or
referenced by URL or otherwise, unless expressly agreed in a written document signed by an authorized representative of TWC.
3. Order of Precedence
In the event of a conflict, the following order applies:
(a) the PO;
(b) these Terms;
(c) any written agreement signed by TWC.
Vendor terms do not apply.
4. Pricing and Payment
Prices shall not exceed those stated in the PO. Payment terms shall be as specified in the
PO or, if applicable, any written agreement between the parties. TWC may withhold payment or set off amounts for nonconforming goods, shortages, or breach.
5. Delivery
Delivery shall be made in accordance with the schedule set forth in the PO. Vendor shall
notify TWC of any anticipated delay. Risk of loss remains with Vendor until delivery and
acceptance at the specified destination.
6. Inspection and Acceptance
All goods and services are subject to inspection. TWC may reject or revoke acceptance of nonconforming goods. Rejected goods may be returned at Vendor’s expense. Inspection or payment does not constitute acceptance.

7. Warranties
Vendor warrants that all goods and services:
(a) conform to the PO and specifications;
(b) are free from defects;
(c) are merchantable and fit for their intended purpose; and
(d) comply with applicable laws.
These warranties are in addition to any warranties provided by law and may not be
disclaimed.
8. Remedies
TWC retains all rights and remedies available under applicable law. Any limitation of
liability or exclusion of damages proposed by Vendor shall not apply unless expressly
agreed in writing by TWC.
9. Set-Off RightsTWC may withhold or offset amounts due to Vendor for any claim arising out of Vendor’s
performance.
10. No Incorporation by Reference
Vendor terms referenced in any external document, website, or hyperlink are not binding
on TWC unless expressly agreed in writing.
11. No Waiver by Payment
Payment by TWC does not constitute acceptance of any Vendor terms and does not waive any rights.
12. Governing Law
These Terms and all POs are governed by the laws of the State of Florida.
13. Entire Agreement
The PO and these Terms constitute the entire agreement unless supplemented by a written agreement signed by TWC.
